Since the last edition of this book, a number of important legislative amendments have been put into force, most notably the comprehensive renewal of stock law with over 160 amended or new items. The commercial register law has also been fully revised. Changes of different scopes can be found at the GmbH and the cooperative, the association and the foundation as well as in accounting law. This and the developments in teaching and practice made a new editing of the teaching and manual that has long become the standard work. With the new edition, a comprehensive presentation of Swiss company law and its ancillary areas is up to date. Despite numerous changes and additions, the goal remained unchanged: the book should be the basis for study and at the same time the first information point for the practitioner. In order to facilitate this double use, the basics on the one hand and the further notes on individual questions as well as on literature and judicature on the other hand are differentiated in printing technology.
