From the Back Cover Die kollektive Entscheidungstheorie (auch Sozialwahltheorie bzw. social choice theory) hat im Rahmen der ökonomischen Analyse des Rechts bisher kaum Beachtung gefunden. Stephan Schulz entwickelt erstmalig im deutschsprachigen Raum eine allgemeine Methodik zur Anwendung der kollektiven Entscheidungstheorie auf juristische Probleme bei Abstimmungen und untersucht auf dieser Basis ausgewählte Rechtsfragen der Beschlussfassung im Aktienrecht. Im Mittelpunkt stehen drei Probleme, die in der aktienrechtlichen Rechtsprechung und Literatur kontrovers diskutiert werden: das Bestehen und der Umfang positiver Stimmpflichten von Aktionären, die gerichtliche Inhaltskontrolle von Hauptversammlungsbeschlüssen und die ungeschriebenen Zustimmungsrechte der Hauptversammlung. Der Autor zeigt, dass mit Ausnahme der zu restriktiven Rechtsprechung zur gerichtlichen Inhaltskontrolle von Hauptversammlungsbeschlüssen die bisher vertretenen Lösungen im Wesentlichen im Einklang mit den Erkenntnissen der kollektiven Entscheidungstheorie stehen.
