Description

In the spring of 2026, within five days of each other, two substantial UK life insurers passed into private hands. Athora completed its £5.7bn purchase of Pension Insurance Corporation; Brookfield took Just Group private for £2.4bn. Standard Life had agreed to buy Aegon UK, and by May the Financial Times was asking whether Legal & General might be next. Why would the most sophisticated investors in the world pay premiums of up to 75% for businesses the public market had left on dividend yields of 6 to 9%? The Professional Buyer answers that question. UK life insurers generate some of the most predictable long-dated cash flows available anywhere, anchored by a pipeline of defined benefit pension liabilities that advisers expect to deliver £350bn to £550bn of bulk annuity transactions over a decade. The shares stayed cheap for two reasons: the market abandoned the valuation tools that made these companies legible when embedded value reporting died, and a run of fears about private credit, macro shocks and artificial intelligence kept buyers away. None of those fears, on the evidence in this book, survives contact with the data. Private capital noticed the gap between price and value, did the work, and acted. That is nothing new. Gordon Aitken has watched the same pattern repeat across five distinct eras and 30 years: the buyer changes roughly every 15 years, but the behaviour does not. Professional buyers price the cash flows, public markets debate the complexity, and the assets move from the second group to the first. Drawing on three decades inside the sector, this book opens up the bulk annuity market, the death of embedded value, the private credit debate, and the takeovers of 2026 as they happened. It is a companion to Breaking Down the Insurance Black Box, and like the first book it assumes no insurance background, with every technical term explained as it appears. If you want to understand why the smart money is buying UK life insurers, and how to value them yourself before the next bid lands, start here.
