Twenty years ago (1995), Kluwer Law International published the first of A Guide to International Joint Ventures. The welcome reception given by the law profession resulted in the author through the years expanding and including more material, always combining theory with practical experience. The first edition was succeeded by second (1999) and third (2011) editions. The present extensive revision and amplification contains all the material of the original Guide series as well as adding numerous new chapters on the special problems of joint ventures and thus suggests a more appropriate title. What could be entitled the fourth edition of the Guide series is now appropriately published as The Practitioners Treatise on International Joint Ventures: Basic Structures, Essential Documents, Special Problems, Common and Civil Law Jurisdictions with Multiple Clauses and Forms. Divided into two parts, Part I treats the basics which will be familiar to readers of the Guide series: nature of an international joint venture, different forms of an international joint venture, capitalization, essential documents, letter of intent, joint venture agreement, shareholders agreement, due diligence procedures, dispute resolution, among other multiple topics. Part II deals with many of the special problems of joint ventures: termination, deadlock company, directors and puppets, share transfer restrictions, minority shareholders, protection of minority rights, and valuation of minority shares. Both Part I and Part II are replete with numerous basic clauses (50) as well as a wide variety of forms dependent on the subject treated. Included are a glossary and an extensive bibliography for researchers. Finally, derived from the authors practical experience of many decades as a practicing attorney with a common law training but counseling in a civil law jurisdiction there are set forth a list of relevant questions the practitioner should consider when being asked to counsel a joint venture.
