Zu einem der meist diskutierten Managementthemen in den letzten Jahren hat sich die Thematik der Corporate Governance entwickelt. Ausgelöst durch zahlreiche Unternehmenskrisen, Zusammenbrüche und Skandale sorgt die Diskussion um Corporate Governance, als rechtlicher und faktischer Ordnungsrahmen einer verantwortungsvollen Unternehmensführung und -überwachung, nicht nur in Deutschland, sondern weltweit für öffentliches Interesse. Auf der Suche nach einer Lösung für eine effiziente Anwendung der Corporate Governance richtet sich die Aufmerksamkeit in Deutschland auf die Träger des Überwachungssystems. Hier stehen - zumindest bei börsennotierten Unternehmen - hauptsächlich die Aufsichtsräte im Fadenkreuz der Kritik als unzureichendes übergeordnetes Überwachungsorgan. In dieser Arbeit wird der Frage nachgegangen, wer letztlich die Überwacher kontrolliert, d.h. inwiefern dem Aufsichtsrat noch andere "Überwacher" vorgeschaltet sind und welche Kontrollmöglichkeiten existieren. Dabei werden kontrolltheoretische Aspekte vorgestellt und Überlegungen zu nützlichen Kontrollinstrumenten ausgewählt und als Ansätze für mögliche Verbesserungen diskutiert.
