Der Begriff „Venture Capital“ (VC) bezeichnet eine besondere Form der Unternehmensfinanzierung, bei der ein VC-Geber (Investor) haftendes Eigenkapital zur Verfügung stellt. Seine Rendite auf das eingesetzte Kapital erhält der Investor in der Regel durch das angestrebte Wachstum des Unternehmenswertes, wenn er sich nach der vorher vereinbarten Zeit oder bestimmten Zielen (Meilensteine) aus dem Unternehmen mittels eines Divestments - der sog. „Exit“ - zurückzieht. Diese Arbeit beschreibt das zu Grunde liegende Beteiligungsvertragswerk bei VC-Konstellationen und geht dann auf spezielle Klauseln, die im direkten / indirekten Zusammenhang mit dem späteren Exit stehen, näher ein. Einleitend wird das Verhältnis von statutarischen und außerhalb der Satzung geregelten Nebenabreden aufgezeigt. Im Hauptteil wird im Rahmen der Untersuchung und Optimierung von Exitklauseln auf folgende Bereiche eingegangen: Vinkulierung von Anteilen, Vorkaufs- und Vorerwerbsrechte, Mitveräußerungsrechte (Tag Along), Mitveräußerungspflichten (Drag Along) sowie Erlös- und Liquidationspräferenzen. Diese Arbeit ist unter Berücksichtigung der Rechtspraxis eines VC Beteiligungsunternehmens entstanden.
