Le Luxembourg vient de réformer fondamentalement son droit des sociétés en commandite par une loi du 12 juillet 2013 qui transpose la directive 2011/61/UE sur les gestionnaires des fonds d'investissement alternatifs. Cette loi crée une nouvelle forme de société en commandite sans personnalité juridique, la société en commandite spéciale (SCSp), qui suivra, sauf pour ce qui est des spécificités dues à l'absence de personnalité juridique, le nouveau régime de la société en commandite simple (SCS). Ce régime entend réserver une large place à la liberté contractuelle des associés, tout en créant la certitude juridique nécessaire à ce type d'opérateur. Le régime de la société en commandite par actions (SCA) a également été revu sur certaines règles de gestion, indispensables pour en faire un véhicule de choix notamment dans la structuration de fonds d'investissement. La loi luxembourgeoise entend ainsi offrir une législation qui pourra rivaliser à plus d'un titre avec les partnerships anglo-saxons. L'ouvrage s'intéresse à cette "nouvelle" liberté contractuelle, notamment du point de vue de la gouvernance qu'elle permet de créer. Il analyse le régime fiscal de la commandite ainsi que le régime comptable auquel elle est soumise. Les conséquences de l'absence de personnalité juridique sont analysées tout comme l'est l'incidence en matière de législation des fonds d'investissement qui autorise largement le recours aux commandites. Enfin une comparaison entre elles et avec la société à responsabilité limitée arrondit le sujet. Cet ouvrage s'adresse à tous les acteurs de la vie des sociétés et des fonds d'investissement : professeurs, magistrats, avocats, juristes d'entreprises, notaires, réviseurs, gestionnaires de fonds, banques, professionnels du secteur financier...
